Governance

The Foundation is a public benefit corporation organized under the South Carolina Nonprofit Corporation Act. It has no members. It is governed by its board of directors, which holds sole authority over grantmaking; the Foundation does not operate an open application process.

Directors serve without compensation. The Foundation maintains a conflict of interest policy requiring any director with a personal interest in a proposed grant to disclose it and abstain from the decision.

Annual reporting

As a private foundation we file Form 990-PF every year, whether or not we had income or activity.

Our fiscal year ends December 31. The Foundation received its IRS determination on May 11, 2026, with exemption effective March 22, 2026 — so our first Form 990-PF, covering fiscal year 2026, is due in 2027. No annual return has been filed yet.

We would rather say that plainly than leave the question open. Each return will be linked from this page once filed, and every Form 990-PF is a public document available from the IRS independently of us.
